Professional Limited Liability Company Application

 

It is unlawful for any company to practice or offer to practice medicine or podiatric medicine without a valid Certificate of Authorization.

To qualify for a Certificate of Authorization for a professional limited liability company, all members must be a licensed physician (allopathic, osteopathic or podiatric), and all members must hold an active status West Virginia license that is in good standing with the Board.

The proposed name of your professional limited liability company shall contain one of the following endings:

Professional Limited Liability Company
PLLC
P.L.L.C.
Professional LLC
Professional L.L.C.

To apply for a Certificate of Authorization for a professional limited liability company, please complete the online professional limited liability company application. During the application process, the company will be need to:

  • Upload written documentation from the insurance provider indicating that they intend to provide at least one million dollars of professional liability insurance coverage in the business name of the PLLC. If insurance has already been obtained, the company may upload a copy of the Certificate of Insurance which demonstrates at least one million dollars of professional liability insurance coverage in the business name of the PLLC.
  • Print the company shareholder page and have each shareholder sign the page.  The signed shareholder page must be uploaded in association with the application process.  Please note that the Board does not accept stamped or electronically generated signatures.
  • Pay the $100 application fee via credit card at the conclusion of the online application process.

Following receipt of a completed professional limited liability company application and the associated payment the Board will issue a Letter of Authorization which will allow the company to complete the West Virginia Secretary of State business registration process.

Following issuance of a Certificate of Authority by the West Virginia Secretary of State’s Office, the Board of Medicine will issue a numbered Certificate of Authorization to the company, which is valid through June 30, 2022.
